Basic Approach to Timely Disclosure

We are committed to the timely disclosure of company information that is deemed important or useful for shareholders and investors in making investment decisions regarding our securities. In doing so, we comply with the Financial Instruments and Exchange Act, other applicable laws and regulations, and the timely disclosure rules of the stock exchange on which our securities are listed. We place the highest priority on both promptness and accuracy in our disclosure practices.

Information Gathering

All information related to the Company and its consolidated subsidiaries is centralized within the Corporate Planning Department at headquarters. As this department also functions as the secretariat for key decision-making bodies, including the Board of Directors, it is structured to collect information at an early stage through agenda reviews and other processes.

Disclosure Determination Process

The Corporate Planning Department, which serves as the information-gathering division, promptly reviews the collected information against the Financial Instruments and Exchange Act, other applicable laws and regulations, and the timely disclosure rules of the stock exchange on which the Company’s securities are listed. Based on this review, the department assesses whether disclosure is required and submits its findings to the Board of Directors or other relevant decision-making body for final determination.

In urgent cases, the Representative Director may make disclosure decisions on behalf of the Board. Such decisions are subsequently subject to approval at the next meeting of the Board of Directors.

Silent Period

We observe a silent period from the end of each fiscal quarter until the official announcement of the relevant financial results. During this period, the Company, as a general rule, refrains from making external comments or responding to inquiries regarding those results.
